Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the Friskr™ platform ("Platform") provided by TruSamp Limited ("TruSamp", "we", "us", "our"). By registering for or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not access or use the Platform.

1. Definitions

In these Terms, the following definitions apply:

  • "Platform" means the Friskr™ software, including all features, tools, APIs, dashboards, and related services provided by TruSamp.
  • "Account" means a registered user account on the Platform, identified by a unique Primary Client ID (PRI-XXXXXXXX).
  • "User" or "you" means the individual or entity that has registered for and uses the Platform.
  • "Subscription" means the paid or trial access plan selected by the User.
  • "Content" means any data, information, project configurations, screener settings, or other material submitted to or processed through the Platform by the User.
  • "Respondent Data" means pseudonymised data signals associated with survey respondents processed through the Platform's fraud detection engine.
  • "Friskore™" means the proprietary survey integrity scoring system developed and operated by TruSamp.

2. Account Registration and Eligibility

To use the Platform, you must register for an account. By registering, you represent and warrant that:

  • You are at least 18 years of age;
  • You are registering on behalf of a legitimate business entity or as a professional individual;
  • The information you provide during registration is accurate, current, and complete;
  • You have the authority to enter into these Terms on behalf of any organisation you represent;
  • Your use of the Platform will comply with all applicable laws and regulations.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at privacy@friskr.app of any unauthorised use of your account. TruSamp is not liable for any loss resulting from unauthorised use of your account credentials.

3. Platform Access and Licence

Subject to your compliance with these Terms and payment of applicable fees, TruSamp grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for your internal business purposes during the term of your Subscription.

This licence does not include the right to sublicense, resell, or otherwise transfer access to the Platform to third parties, except as expressly permitted by the secondary and tertiary client management features within the Platform and consistent with your Subscription plan.

4. Permitted and Prohibited Use

4.1 Permitted Use

You may use the Platform to:

  • Create and manage market research projects, screeners, and deployment campaigns;
  • Process respondent traffic through TruSamp's fraud detection engine;
  • Manage panel respondents, clients, and vendors within your account;
  • Access the Friskore™ score and fraud analytics for your studies;
  • Invite team members and manage access permissions within your account.

4.2 Prohibited Use

You must not:

  • Use the Platform for any unlawful purpose or in violation of any applicable laws or regulations;
  • Resell, sublicense, or provide access to the Platform to third parties outside of the permitted client management features;
  • Attempt to reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Platform or any of its components;
  • Circumvent, disable, or interfere with security features or access controls of the Platform;
  • Use the fraud detection outputs to unfairly exclude, discriminate against, or take adverse action against individual respondents beyond legitimate research quality control;
  • Introduce malicious code, viruses, or any software that could damage, disable, overburden, or impair the Platform;
  • Use automated tools, scripts, or bots to scrape, crawl, or extract data from the Platform without our prior written consent;
  • Use the Platform to process data relating to individuals for purposes other than legitimate survey research quality control;
  • Misrepresent your identity or affiliation in connection with the Platform;
  • Remove, alter, or obscure any proprietary notices, branding, or intellectual property markings on the Platform.

5. Subscriptions and Billing

5.1 Subscription Plans

The Platform is offered on a subscription basis. Available plans, features, and pricing are described on our pricing page. TruSamp reserves the right to modify pricing with at least 30 days' advance notice to existing subscribers.

5.2 Billing and Payment

Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan. Payment is due at the time of subscription or renewal. All fees are non-refundable except as expressly stated in these Terms or required by applicable law.

5.3 Free Trial

Where a free trial is offered, you may access the Platform for the trial period without charge. At the end of the trial, your account will convert to a paid subscription unless you cancel before the trial expires.

5.4 Failed Payment

If payment fails, we will notify you and may suspend access to the Platform until payment is received. Persistent payment failures may result in account termination in accordance with Section 14.

5.5 Taxes

All fees are exclusive of applicable taxes, duties, and levies. You are responsible for any taxes applicable to your purchase in your jurisdiction.

6. Client and Vendor Management

The Platform allows you to invite secondary clients (SEC- IDs) and tertiary vendors (TER- IDs) to your account. You are responsible for ensuring that all users you invite comply with these Terms. You acknowledge that by adding a secondary or tertiary user, you are granting them access to the Platform features and data associated with your account as configured by your access settings. TruSamp is not responsible for any actions taken by users you have added to your account.

7. Data and Privacy

Your use of the Platform is subject to our Privacy Notice, which is incorporated into these Terms by reference. You are responsible for ensuring that your use of the Platform, including your collection and processing of respondent data, complies with applicable data protection laws in your jurisdiction. Where TruSamp processes respondent data on your behalf through the fraud detection engine, TruSamp acts as a data processor and you act as the data controller. A data processing agreement is incorporated into these Terms and governs such processing.

8. Intellectual Property

8.1 TruSamp Intellectual Property

The Platform, including its software, algorithms, user interface, design, content, and all associated intellectual property rights, is owned by TruSamp or its licensors. The following are registered or unregistered trademarks of TruSamp: Friskr™, Friskore™, FraudScore™, BotShield™, DeviceGraph™, GeoTrust™, DuplicaCheck™, and RuleFlow™. Nothing in these Terms grants you any rights in TruSamp's intellectual property except for the limited licence in Section 3.

8.2 Your Content

You retain all intellectual property rights in the Content you submit to the Platform. By submitting Content, you grant TruSamp a limited, non-exclusive licence to process, store, and use your Content solely for the purpose of providing the Platform services to you. TruSamp will not use your Content for any other purpose without your consent.

8.3 Feedback

If you provide feedback, suggestions, or ideas about the Platform, you grant TruSamp a perpetual, irrevocable, royalty-free licence to use and incorporate that feedback into the Platform without obligation to you.

9. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. This obligation does not apply to information that is or becomes publicly available through no fault of the receiving party, was already known to the receiving party, or is required to be disclosed by law or court order.

10. Service Availability and Support

TruSamp will use commercially reasonable efforts to make the Platform available 24 hours a day, 7 days a week. We do not guarantee uninterrupted or error-free service. Planned maintenance will be communicated in advance where reasonably practicable. Enterprise plan subscribers are entitled to the service level commitments set out in their enterprise agreement. Support is provided via email to privacy@friskr.app with response times dependent on your plan tier.

11. Disclaimer of Warranties

The Platform is provided "as is" and "as available" without warranty of any kind, express or implied. To the fullest extent permitted by applicable law, TruSamp disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. TruSamp does not warrant that the Platform will meet your specific requirements, that its fraud detection will be error-free or complete, or that any particular result will be achieved through use of the Platform.

12. Limitation of Liability

To the fullest extent permitted by applicable law, TruSamp and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, or costs of procuring substitute services, arising out of or in connection with these Terms or your use of the Platform, even if TruSamp has been advised of the possibility of such damages.

TruSamp's total aggregate liability to you for any claims arising out of or in connection with these Terms or the Platform shall not exceed the total fees paid by you to TruSamp in the 12 months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, the above exclusions and limitations shall apply to the maximum extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless TruSamp and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law; (d) your Content; or (e) any claim by a third party arising from your instructions to TruSamp regarding the processing of respondent data.

14. Term and Termination

14.1 Term

These Terms commence on the date you first access the Platform and continue until your Subscription is terminated.

14.2 Termination by You

You may cancel your Subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period. No refunds will be issued for the remaining portion of a prepaid billing period except where required by applicable law.

14.3 Termination by TruSamp

TruSamp may suspend or terminate your access to the Platform immediately and without notice if: (a) you breach these Terms; (b) you fail to pay applicable fees; (c) we are required to do so by law; or (d) we reasonably suspect fraudulent, abusive, or illegal activity associated with your account.

14.4 Effect of Termination

Upon termination, your licence to use the Platform ceases immediately. You may request an export of your data within 30 days of termination, after which TruSamp may delete your account data in accordance with our data retention policy. Sections 7, 8, 9, 11, 12, 13, 15, and 16 survive termination.

15. Jurisdiction-Specific Provisions

Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of Singapore. Subject to any mandatory provisions of applicable local law that cannot be excluded by contract, all disputes arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be subject to the exclusive jurisdiction of the courts of Singapore. Where a User is a consumer protected by mandatory local consumer law, that User retains the right to bring proceedings in the courts of their local jurisdiction for any claim arising under such mandatory law, notwithstanding the above.

Each section below sets out jurisdiction-specific provisions that apply in addition to the above general clause. Where local mandatory law conflicts with the Singapore jurisdiction clause, local mandatory law prevails to the extent of that conflict only.

15.1 European Economic Area (EEA)

If you are a consumer located in the EEA, nothing in these Terms affects your statutory rights under applicable consumer protection law, including rights under EU Directive 2019/770 on contracts for the supply of digital content and digital services. The general jurisdiction clause above applies, subject to your right as a consumer to bring proceedings in the courts of your member state for claims arising under mandatory EEA consumer law. TruSamp's liability for death or personal injury caused by negligence, fraudulent misrepresentation, or any other liability that cannot be limited under applicable law is not excluded.

15.2 United Kingdom

The Singapore jurisdiction clause applies. However, consumers located in the United Kingdom retain the right to bring proceedings in the courts of England, Wales, Scotland, or Northern Ireland (as applicable) for claims arising under the Consumer Rights Act 2015 and other mandatory UK consumer legislation, which are not affected by these Terms.

15.3 Ireland

The Singapore jurisdiction clause applies. Consumers located in Ireland retain the right to bring proceedings in the Irish courts for claims arising under the Consumer Rights Act 2022 and other mandatory Irish consumer law, which are not affected by these Terms.

15.4 United States

The Singapore jurisdiction clause applies. Disputes may, at TruSamp's election, be resolved by binding arbitration under the Singapore International Arbitration Centre (SIAC) Rules, seated in Singapore. Class action and class arbitration are waived to the fullest extent permitted by law. California consumers retain the right to bring an action in California courts under the California Consumer Legal Remedies Act for claims arising under that Act.

15.5 Canada

The Singapore jurisdiction clause applies. Quebec residents and other Canadian consumers retain the right to bring claims in their local courts under mandatory provincial consumer protection law, which prevails to the extent of any conflict with these Terms.

15.6 Australia

The Singapore jurisdiction clause applies. Nothing in these Terms excludes, restricts, or modifies any right or remedy you may have under the Australian Consumer Law (ACL). Australian consumers retain the right to bring proceedings in Australian courts for claims arising under the ACL. Our liability for failure to comply with a consumer guarantee is limited, where permitted, to resupply of the services or payment of the cost of resupply.

15.7 India

The Singapore jurisdiction clause applies. Disputes may be referred to arbitration under the SIAC Rules, seated in Singapore, with English as the language of proceedings. Consumer users in India retain rights under the Consumer Protection Act 2019, which are not excluded by these Terms.

15.8 Brazil

The Singapore jurisdiction clause applies. Mandatory consumer protections under the Consumer Defence Code (CDC — Law No. 8,078/1990) and the LGPD are not excluded. Brazilian consumers retain the right to submit disputes to Procon or civil courts of their domicile for claims arising under mandatory Brazilian consumer law.

15.9 Japan

The Singapore jurisdiction clause applies. Consumer users in Japan retain all statutory rights under the Consumer Contract Act (消費者契約法) and may bring claims in Japanese courts for matters arising under mandatory Japanese consumer protection law, which are not affected by these Terms.

15.10 South Korea

The Singapore jurisdiction clause applies. Mandatory provisions of Korean consumer protection law, including the Act on the Consumer Protection in Electronic Commerce, prevail over any conflicting term in these Terms. Korean consumers retain the right to bring claims before competent Korean authorities or courts for matters arising under mandatory Korean consumer law.

15.11 Singapore

As stated in the general clause above, these Terms are governed by the laws of Singapore and disputes are subject to the exclusive jurisdiction of the Singapore courts. Disputes may also be resolved by arbitration under the SIAC Rules where the parties agree. Nothing in these Terms limits your rights under the Consumer Protection (Fair Trading) Act or other applicable Singapore legislation.

15.12 South Africa

The Singapore jurisdiction clause applies. Nothing in these Terms limits your rights under the Consumer Protection Act 68 of 2008 or other mandatory South African legislation. South African consumers retain the right to bring claims before competent South African courts or the National Consumer Commission for matters arising under mandatory South African consumer law.

15.13 Switzerland

The Singapore jurisdiction clause applies. The UN Convention on Contracts for the International Sale of Goods (CISG) does not apply. Swiss consumers retain rights under mandatory Swiss consumer law and may bring claims in Swiss courts for matters arising under such law, notwithstanding the Singapore jurisdiction clause.

15.14 New Zealand

The Singapore jurisdiction clause applies. Statutory guarantees under the Consumer Guarantees Act 1993 apply and cannot be excluded. The limitation of liability in Section 12 applies only to the extent permitted by New Zealand law. New Zealand consumers retain the right to refer disputes to the Disputes Tribunal for claims arising under mandatory New Zealand consumer law.

15.15 United Arab Emirates

The Singapore jurisdiction clause applies. Users located in the DIFC or ADGM free zones acknowledge that the laws and courts of those respective jurisdictions may apply to transactions conducted within those zones. For mainland UAE users, the Singapore courts have primary jurisdiction, subject to mandatory UAE consumer protections.

15.16 Mexico

The Singapore jurisdiction clause applies. Mandatory provisions of the Federal Consumer Protection Law (LFPC) are not excluded. Mexican consumers retain the right to submit disputes to PROFECO for matters arising under mandatory Mexican consumer law.

15.17 Argentina

The Singapore jurisdiction clause applies. Mandatory provisions of Law No. 24,240 on Consumer Defence are not excluded. Argentine consumers retain access to consumer arbitration and mediation mechanisms for matters arising under mandatory Argentine consumer law.

15.18 Indonesia

The Singapore jurisdiction clause applies. Mandatory consumer protections under Law No. 8 of 1999 on Consumer Protection are not excluded. Indonesian consumers retain the right to submit consumer disputes to BPSK for matters arising under mandatory Indonesian consumer protection law.

15.19 Turkey

The Singapore jurisdiction clause applies. Mandatory consumer protections under the Consumer Protection Law No. 6502 and personal data rights under KVKK are not excluded. Turkish consumers retain the right to bring claims before consumer arbitration committees or consumer courts for matters arising under mandatory Turkish consumer law.

15.20 Saudi Arabia

The Singapore jurisdiction clause applies, subject to any mandatory provisions of Saudi Arabian law that cannot be excluded by contract. Disputes involving users in Saudi Arabia may also be subject to the jurisdiction of the Saudi courts where required by Saudi law. Users in Saudi Arabia retain all rights afforded under applicable Saudi consumer and data protection legislation.

15.21 Israel

The Singapore jurisdiction clause applies. Israeli consumers retain rights under the Consumer Protection Law 5741-1981 and other mandatory Israeli legislation, which are not excluded by these Terms. Consumer claims arising under mandatory Israeli consumer law may be brought before the competent Israeli courts.

15.22 Kenya

The Singapore jurisdiction clause applies. Mandatory consumer protections and data subject rights under the Data Protection Act 2019 and the Consumer Protection Act 2012 are not excluded. Kenyan users retain access to the relevant Kenyan regulatory bodies and courts for matters arising under mandatory Kenyan law.

15.23 Nigeria

The Singapore jurisdiction clause applies. Mandatory provisions of Nigerian consumer protection law and the Nigeria Data Protection Act 2023 are not excluded. Nigerian consumers retain the right to bring claims before the Federal Competition and Consumer Protection Commission (FCCPC) or Nigerian courts for matters arising under mandatory Nigerian law.

15.24 Egypt

The Singapore jurisdiction clause applies, subject to mandatory provisions of Egyptian law. Egyptian users retain rights under applicable Egyptian consumer protection and data protection legislation. Disputes involving mandatory Egyptian law provisions may be subject to the jurisdiction of Egyptian courts to the extent required by law.

15.25 Malaysia

The Singapore jurisdiction clause applies. Mandatory consumer protections under the Consumer Protection Act 1999 and personal data rights under the Personal Data Protection Act 2010 are not excluded. Malaysian consumers retain the right to bring claims before the Tribunal for Consumer Claims or Malaysian courts for matters arising under mandatory Malaysian consumer law.

15.26 Thailand

The Singapore jurisdiction clause applies. Mandatory consumer protections under the Consumer Protection Act B.E. 2522 (1979) and data subject rights under the PDPA are not excluded. Thai consumers retain the right to bring claims before the Consumer Protection Board or Thai courts for matters arising under mandatory Thai consumer law.

15.27 Philippines

The Singapore jurisdiction clause applies. Mandatory consumer protections under Republic Act No. 7394 (Consumer Act of the Philippines) and data subject rights under the Data Privacy Act 2012 are not excluded. Philippine consumers retain the right to bring claims before the Department of Trade and Industry (DTI) or Philippine courts for matters arising under mandatory Philippine law.

15.28 Taiwan

The Singapore jurisdiction clause applies. Mandatory consumer protections under the Consumer Protection Act (消費者保護法) and data subject rights under the PDPA are not excluded. Taiwanese consumers retain the right to bring claims before the Consumer Protection Committee or Taiwanese courts for matters arising under mandatory Taiwanese consumer law.

15.29 Pakistan

The Singapore jurisdiction clause applies. Users in Pakistan retain all rights afforded under applicable Pakistani law, including under PECA 2016 and any forthcoming personal data protection legislation. Mandatory provisions of Pakistani law are not excluded by these Terms.

15.30 Chile

The Singapore jurisdiction clause applies. Mandatory consumer protections under Law No. 19,496 on Consumer Protection and applicable data protection law are not excluded. Chilean consumers retain the right to bring claims before SERNAC or Chilean courts for matters arising under mandatory Chilean consumer law.

15.31 Colombia

The Singapore jurisdiction clause applies. Mandatory consumer protections under Law 1480 of 2011 (Consumer Statute) and data subject rights under Law 1581 of 2012 are not excluded. Colombian consumers retain the right to bring claims before the SIC or Colombian courts for matters arising under mandatory Colombian law.

15.32 Peru

The Singapore jurisdiction clause applies. Mandatory consumer protections under Legislative Decree No. 1096 (Consumer Protection Code) and data subject rights under Law No. 29,733 are not excluded. Peruvian consumers retain the right to bring claims before INDECOPI or Peruvian courts for matters arising under mandatory Peruvian law.

16. General Provisions

16.1 Entire Agreement

These Terms, together with the Privacy Notice and any other policies or agreements incorporated by reference, constitute the entire agreement between you and TruSamp with respect to the Platform and supersede all prior negotiations, representations, warranties, and agreements.

16.2 Amendments

TruSamp may amend these Terms at any time by posting updated Terms on the Platform and notifying registered users by email. Your continued use of the Platform after the effective date of any amendment constitutes your acceptance of the revised Terms.

16.3 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

16.4 Waiver

TruSamp's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

16.5 Assignment

You may not assign or transfer your rights or obligations under these Terms without TruSamp's prior written consent. TruSamp may assign these Terms in connection with a merger, acquisition, or sale of assets.

16.6 Force Majeure

Neither party shall be liable for any delay or failure to perform its obligations under these Terms due to causes beyond its reasonable control, including acts of God, natural disasters, government actions, war, civil unrest, or widespread internet or infrastructure failures.
